Important, if you have UMCmarket installed on your computer or you plan on installing it, please read the Terms below very carefully as there are potential issues that you should understand.
Recommendation: Remove UMCmarket
This Agreement is a legal document, which sets out your rights and obligations and those of UMCmarket. UMCmarket is operated by Zebraplace Inc and has been approved by UMC’s General Board of Finance and Administration and made available to the organizations and members of the United Methodist Church. You must take the time to read and understand it before registering for the “UMCmarket Service”. By registering or downloading our Easy Give Button, you accept that you are entering into a contract with us on the terms of this “Agreement”. You should be aware that this Agreement might change from time to time. People who register for the UMCmarket Service establish an "Account", and become "Members".

UMCmarket.net “UMCmarket” is an automated transaction engine, UMCmarket makes it possible for Members to earn money on online purchases and designate those funds as “Donations” to the United Methodist Church. UMCmarket represents the individual user of the UMCmarket Service, not “Advertisers” or sponsors but solely exists to facilitate the Donations of a Member’s funds to their chosen UMC church or organization (here after called the Organizations).

To qualify for donations, the Advertiser must confirm that the Members purchase is tracked, genuine and successful, and the UMCmarket Service must receive your donation. Donation is earned by Members and is then automatically disbursed as a Donation from their Account to their “Organization”. UMCmarket is providing a service to its Members. Any taxes on this are the responsibility of the Member.

UMCmarket does not sell or rent your personal information to third parties, and UMCmarket does not 'spam' its Members. Please read this complete member Agreement for full details on the UMCmarket Shop for a Cause Program "Program".

Becoming a Member
By becoming a Member in the UMCmarket Service or by downloading our Easy Give Button "Applications", you agree to be bound by this Agreement. Enrollment as a Member is simple: you must provide an email address so UMCmarket can inform you when money is credited to your chosen Organization. Members must be at least 18 years old and agree not to use the UMCmarket Service for any illegal or fraudulent activity. Please be aware that participation in the UMCmarket Service and the opportunity to earn Donations are offered at the sole discretion of UMCmarket, and UMCmarket has the right to change this Agreement in whole or in part, at any time, with or without notice. You must register for the Service using accurate and current information about yourself - including your correct mail address and any other requested details.

Earning Money for Donation
Earning back a portion of your purchases as a Donation is easy. Upon installing the UMCmarket Easy Give Button and logging in to the UMCmarket Service, a pop-up will alert you to Donation opportunities when you visit an affiliated store's website "Advertiser", and complete a purchase to earn money on your net purchase amount or other criteria. Specific pay back amounts vary by store and product category. Please note that the net purchase amount excludes taxes, fees, shipping, gift-wrapping, discounts or credits, returns or cancellations, and extended warranties. Certain Advertisers exclude a limited number of products and purchases from the Program. UMCmarket does its best to minimize and maintain an up-to-date list of exclusions under the Advertisers important information.
If you disable 'cookies' on your computer you will not be able to earn money to donation as cookies are used to authenticate the user and be certain that the donation is assigned to the Member Account. Please note that there are various circumstances in which a transaction with an Advertiser may not constitute a Qualifying Transaction, or Donation may not result from it. Our help page provide further information about how you can contact us to get help to Track your Transaction.
There are various circumstances in which Donation will not be payable to the chosen Organization, and will be forfeited to us, namely:
a. where the payment that we receive is not connected with an Account (such as where the Member is not logged-in to the UMCmarket Service when making the relevant purchase).
b. the transaction to which the Donation relates is cancelled after it has been entered into (whether under the right of cancellation that applies to some sales made at a distance, or otherwise) the Donation is attributed to a Member or Account that has been:
a. suspended by us for reasons within this Agreement;
b. associated with any fraudulent activity or any breach of this Agreement;
c. used to make purchases on behalf of, or for the benefit of, any other person
d. where the Member has put items in the cart during different sessions
e. where the items are added and deleted and than added again to the cart
f. the transaction to which the Donation relates is cancelled by the Advertiser when the Member use coupon codes, special offers or similar that creates “double-dipping” combining a rebate with the Donation
g. where the donation is held in, or attributable to, an Account that has been inactive for more than twelve months.

Organizations
Participating Organizations are responsible for and to the Members referred to UMCmarket. As such, these Organizations are expected to maintain the privacy and ensure the good conduct of associated users as set forth in this Agreement. UMCmarket is not responsible for fraudulent groups misusing our services but recommends Members and Organizations to verify that all listed information is correct and/or contact the listed Organization independently before proceeding with the donation process. Concerns should be brought to the attention of UMCmarket immediately.

Donations
To successfully make donations you must establish and maintain an Account with UMCmarket. You establish an Account by providing a valid email address and a password or by connecting the Account to your Facebook account. Once your account is established you must select which Organization you wish to donate your accrued funds to. Make sure to maintain your account and update your information if it changes.

Earning Bonuses & Other Rewards
UMCmarket periodically offers monetary bonuses or other rewards for sign-up in the Program, for referring other new Members, or for other specific actions. The terms and conditions accompanying such offers will govern how they are earned and paid if the terms and conditions differ from this Agreement.

Organizations may choose to receive its donation and other rewards every months automatically. UMCmarket pays Organizations in U.S. dollars via check or Paypal.. Each payment represents donation and other rewards earned and accrued since the last payment. To receive its Donations, the total aggregated value of the Donations must exceed $100

Updating & Maintaining Your Account
You must be logged into UMCmarket and enter your password to change your Account information and donations and payment preferences. You may check your account status and recent earning history at any time via the My Account tab on the UMCmarket Website. For security purposes, it is recommended that you memorize your password and not write it down. You are responsible for keeping your password and other account information confidential. UMCmarket is entitled to act on instructions received under your password and is not responsible for any credits or debits made to your account by someone else who uses your password.

Receiving Communications from UMCmarket
By signing up for membership at UMCmarket, you agree to receive communications that are account and membership related (e.g. how much you have donated etc.) as well as periodic shopping-related emails. Since we need to communicate account information with you in order to operate our service, you cannot unsubscribe from all account information emails. But rest assured that we don't send account emails unnecessarily. If you do not wish ever to hear from UMCmarket, even if just to hear that we awarded you donation, you can close your account by contacting UMCmarket customer service department.

Protecting Your Information
UMCmarket does not sell or rent your information to third parties. However, when you Donate funds to an Organization you authorize UMCmarket to release your email address to that Organization (home church or organization). Organizations are not permitted to sell, or use for solicitation purposes any personal information solely obtained through UMCmarket requires your email address in order to send you notifications of payment of donation and other rewards earned through UMCmarket. Any other information gathered by UMCmarket will be used only to improve your UMCmarket experience. As detailed in UMCmarket Privacy Policy, UMCmarket does not disclose your information to third parties except as necessary (i) for UMCmarket agents and service providers to make UMCmarket payments to you; (ii) to comply with government agency or court orders or requests; (iii) for UMCmarket agents and service providers to send UMCmarket communications to you.

Using UMCmarket Applications
Installation and use of UMCmarket Applications, such as the Easy Give Button, is fully voluntary. If you use UMCmarket Applications you agree to use them only for your personal use and for accessing the UMCmarket Service. UMCmarket reserves the right to update or discontinue its Applications at any time. UMCmarket also reserves the right to update or discontinue its Advertisers that are functioning with the Applications at any time. You agree not to reverse engineer, decompile, disassemble, copy or otherwise derive the source code of UMCmarket Applications for any reason. You may not rent, sell, or sublicense UMCmarket Applications without UMCmarket prior written consent.
UMCmarket Applications and their underlying information and technology may not be exported or re-exported into any country to which the U.S. has embargoed goods or to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By using UMCmarket Applications you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list, and that you will otherwise comply with all applicable export control laws. UMCmarket reserves all rights to UMCmarket Applications under the copyright laws of the United States.

Inactive Member Accounts & Termination of Membership
Membership in the UMCmarket Program is free. There is no charge to be a Member or to earn and receive Donation. If your account is inactive for more than twelve (12) consecutive months, UMCmarket reserves the right to contact you until (i) you reactivate your account by starting a shopping session via UMCmarket.net or UMCmarket Applications, completing a qualifying purchase, or updating your account information (providing a valid name, email and mailing address). If the balance in your inactive account is or becomes zero, UMCmarket reserves the right to close the account permanently and cease to maintain your account records and UMCmarket Service access.

Program Limitations, Qualifications & Disclaimers
Membership in the Program is subject to this Agreement. All Advertiser membership and/or operating agreements as they relate to their affiliate or partner programs with UMCmarket and which reside on the Advertisers respective Web sites are hereby incorporated into this Agreement by reference. Membership in the Program is limited to individuals who are 18 years of age or older. Members may not use scripts or disguised redirects to derive financial benefit from UMCmarket. Any failure to comply with this Agreement, any fraud or abuse relating to the accrual or receipt of Donation, or any misrepresentation of any information furnished to UMCmarket or its affiliates by you or anyone acting on your behalf may result in the termination of your membership in the Program and forfeiture of your accrued Donation.
The determination of whether or not a purchase made through an UMCmarket Advertiser qualifies for Donations is at the sole discretion of UMCmarket. If an Advertiser fails to report a transaction to UMCmarket or withholds payment to UMCmarket for any reason, UMCmarket reserves the right to cancel the Donation associated with that transaction. If UMCmarket has any reason to suspect fraudulent activity is associated with your account, UMCmarket reserves the right to delay or withhold payment of Donations. You give UMCmarket permission to review your account with Advertisers in cases where UMCmarket suspects fraudulent activity. UMCmarket is not responsible for lost or stolen payments, including gift cards. UMCmarket is not responsible for payments delivered to the wrong address through no fault of UMCmarket or for payment errors made by payment partners like PayPal. It is your responsibility to check your account regularly to ensure that Donations has been properly credited and paid and that your account balance is accurate. If you do not believe that Donations has been correctly credited to your account you must contact UMCmarket Customer Service within 90 days of the transaction. Should you disagree with any adjustments made to your account or payments made to you, your sole remedy is to withdraw from the Program.
You may be taxed on your receipt of cash and other consideration (merchandise, travel, etc.) for member referrals, depending on the tax laws of federal, state, and local jurisdictions. In all instances, you will be solely responsible for any and all tax liability arising out of the consideration received for member referrals. UMCmarket is not responsible for changes to, or discontinuance of, any Advertiser, or for any Advertiser withdrawal from the Program, or for any effect on accrual of Donations caused by such changes, discontinuance, or withdrawal. UMCmarket is not responsible for changes to, or discontinuance of, any special offer or coupon code at an Advertiser site.
The UMCmarket Program and Applications are being provided to member "as is" with no warranty. UMCmarket reserves the right to terminate the Program at any time with or without notice. To the maximum extent permitted by law, UMCmarket disclaims all representations and warranties, express or implied, with respect to the Program and Applications.
UMCmarket does not warrant, guarantee, or make any representations regarding the quality or accuracy of advertisements for any products or services offered or provided by Advertisers in conjunction with the Program. In addition, UMCmarket does not warrant that access to this site or use of its Applications will be uninterrupted or error-free, and UMCmarket assumes no responsibility for any damage caused by your access or inability to access UMCmarket.net or UMCmarket Applications. Member agrees to indemnify and hold UMCmarket, its parents, subsidiaries, affiliates, officers, directors and employees, harmless from any claim or demand, including reasonable attorney's fees, made by any party due to or arising out of Member's use of the Program.
UMCmarket may modify this Agreement from time to time, with or without notice, and your continued participation in the Program after such modification shall be deemed to be your acceptance of any such modification. It is your responsibility to check the Terms & Conditions page of the UMCmarket Web site regularly to determine whether this Agreement has been modified. If you do not agree to any modification of this Agreement, you must immediately cease participation in the Program.
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without reference to conflicts of law rules. As a condition of the use of the UMCmarket website and service, you (the Member) agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Palm Beach, Florida and therefore agree to file any grievance or suit of any kind exclusively in the courts located within the county of Palm Beach.
If any provision of this Agreement is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. UMCmarket failure to insist upon or enforce strict performance of any provision of the Agreement shall not be construed as a waiver of any provision or right. This Agreement constitutes the entire agreement between you and UMCmarket with respect to the Program.
