This Product License Agreement (the "Agreement") states license terms and conditions for end users (the "User" or "Users") of the Free Opener software product (the "Product"). The Product is distributed via downloads from the www.freeopener.com website (the "Website"). EZ Freeware, LLC ("EZ") owns and operates the Website. EZ is a Delaware limited liability company with offices located at the address provided on the Website. EZ has all intellectual property rights in the Product necessary to make this Agreement. EZ licenses and distributes the Product and is responsible for maintaining and upgrading it.
READ THIS AGREEMENT FULLY AND CAREFULLY. USERS MUST ACCEPT THE TERMS OF THIS AGREEMENT BEFORE THEY CAN DOWNLOAD THE PRODUCT FROM THE WEBSITE. USEDRS MUST CLICK THE "ACCEPT" CHECKBOX OR OTHERWISE INDICATE THEIR ACCEPTANCE WHEN SHOWN THIS AGREEMENT DURING THE DOWNLOAD PROCESS. USERS WHO DISAGREE WITH ANY OF THE TERMS AND CONDITIONS OF THIS AGREEMENT ARE NOT AUTHORIZED TO DOWNLOAD OR USE THE PRODUCT.
PRODUCT LICENSE AND LIMITS ON USE
EZ grants the User a limited, nonexclusive, nontransferable, license to use one copy of the Product for personal or business use. Unless otherwise stated in this Agreement, Users may not: (a) change, translate, revise, alter, or make derivative works of the Product; (b) decompile, decode, produce a source listing, or otherwise reverse engineer the Product, or any part of it, or attempt to discover the procedures, methods, ideas, or algorithms employed by the Product; (c) transfer, convey, assign, sublicense, rent, loan, distribute, or transfer all or any portion of the Product by any means, device, or mechanism; (d) make, have made, or copy the Product for any purpose other than making backups; (e) remove or alter any trademark, logo, copyright, company names, trade names, identifiers, serial numbers, or other proprietary notices or markings appearing in any Product computer files or display screens; (f) cooperate or assist any third party in doing any of the foregoing; or (g) do anything else that directly or indirectly violates the terms and conditions of this Agreement.
PROPRIETARY RIGHTS
EZ owns or has licensed all necessary patent, copyright, moral rights, trademarks, trade secrets, and other intellectual property rights in and to the Product necessary to enter this Agreement and license and distribute the Product via the website. EZ reserves and retains all rights not expressly granted to Users.
REQUIRED AGE FOR USE
All users must be at least 18 years of age. By accepting this Agreement, Users expressly warrant and represent that they are at least 18.
SUMMARY OF FEATURES AND FUNCTIONALITY
The Product provides allows Users to the do the following:
Open and view various document types (the Website has a current list of the supported files)
Edit, revise and re-save the documents.
Check spelling.
Format the text of documents.
Print the document.
Convert the file to different formats and save it.
Search the document text.
Open, view, listen, and play various digital media file formats (see the Website for supported formats).
Open, view, and edit various image file types. Features include changing the image size, blurring the image, or changing the color tone or saturation.
Print images.
Extract and open compressed files.
The Product also includes these advanced features:
A hexadecimal editor for powerful file editing.
A feature allowing you to choose associate file types with specific applications, so that clicking on the file automatically launches the specified application.
A file manager providing information on the current file types opened.
A feature which alerts the user that a new version of the Product is available for download.
UNINSTALLATION INSTRUCTIONS
The Product is available for the Windows XP, Windows Vista, and the Windows 7 operating systems. If you want to uninstall or remove the Product from your computer, following these steps:
For Windows 7 and Windows Vista:
Click the "Start" button from the Desktop
Click "Control Panel"
Click "Programs"
Click "Programs and Features"
Select "Free Opener" from the application list
Click "Uninstall" and any required confirmations after that
For Windows XP:
Click the "Start" button from the Desktop
Click "Control Panel"
Click "Add or Remove Programs"
In the "Currently Installed Programs" box, click "Free Opener"
Click "Remove"
If asked to confirm the removal, click "Yes"
OPEN SOUCE CODE
The Product may incorporate, use, be derived from, or distributed with software code or programs which that EZ has have licensed under "open source" or similar agreements (collectively, the "Open Source Software"). Open Source Software use is subject to the terms of the license agreement of the owner or other distributor of such software. Users can obtain license information for all Open Source Software used in the Product by following this link: http://www.freeopener.com/source. This Agreement does not limit the User's rights under or override any Open Source Software license agreements. EZ has included any Open Source Software files with the Product download that must be distributed to comply with the applicable Open Source Software license agreement.
DATA USAGE AND RIGHTS
The EZ privacy policy (privacy.html) describes the information we collect from Users, the information Users may submit, how EZ uses any such information, and the conditions under which EZ shares such information, if at all. Users acknowledge that EZ may aggregate and analyze non-personal information about how Users use the Product. EZ has the right to use, reproduce, and provide such information to third parties in its business discretion, provided that no personal or personally identifiable information about any Users is disclosed.
AGREEMENT TERM
This Agreement is binding when accepted by the User and will be in effect and binding until terminated by one of EZ or User. Users may terminate this Agreement at any time by permanently deleting the Product from their computers and also deleting all other copies in their possession or under their control, such as backup copies. EZ hereby elects to terminate this Agreement immediately without notice to the User if the User violates any provision term or condition of the Agreement or any applicable Open Source Software license agreement.
NO WARRANTIES
THE APPLICATION IS PROVIDED TO USERS "AS IS" AND "AS AVAILABLE." ALL OTHER EXPRESS OR IMPLIED WARRANTIES ARE HEREBY DISLAIMED, INCLUDING THE WARRANTIES FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR MERCHANTABILITY.
LIABILITY LIMITATION
EZ WILL NOT BE LIABLE TO USERS UNDER ANY CIRCUMSTANCE FOR SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PRODUCT. EZ WILL NOT BE FINANCIALLY LIABLE TO USERS FOR ANY CLAIMS RELATED THE PRODUCT UNLESS EZ HAS EXPRESSLY AGREED TO ASSUME SUCH LIABILITY.
USER INDEMNIFICATION
Users shall indemnify EZ and all of its affiliates, parent companies, subsidiaries, and licensors, and each of their respective executives, agents, employees, officers, managers, directors, independent contractors, consultants, service providers, professional advisors, lawyers, and any other applicable third parties harmless from and against any actual or threatened lawsuits, legal claims, prosecutions, demands, claims, damages, costs, and liabilities due to: (a) User's use of or access to the Product; (b) User's failure to perform his or her obligations under this Agreement; or (c) the use of the Product by any third party who has access to your computer or other computing equipment on which the Product is installed or used.
GENERAL TERMS AND CONDITIONS
Entire Agreement: This Agreement is the entire agreement between EZ and the Users and supersedes any and all prior offers, proposals, quotes, agreements, or communications with respect to the use of the Product. Modification: This Agreement may only be amended with the written consent of EZ. No Transfers: Users may not assign, sell, convey, or transfer their rights under this Agreement to any third parties without EZ's consent. Applicable Laws: This Agreement is governed by the laws of the State of California without regard to that its conflict of laws provisions. EZ and User agree that the 1980 U.N. Convention on Contracts for the International Sale of Goods will not apply to this Agreement. The version of this Agreement written in English will control any interpretation issues or disputes regarding its terms and conditions. Enforcement: If any part of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, the remaining portions will remain in full force and effect, and the invalid provision will be enforced to the full extent permitted by law. Notices: All notices required under this Agreement will be in writing and will be considered made when personally served, delivered by a nationally-recognized next-day courier service, or five (5) days after mailing via U.S. Mail or its equivalent in another country. Notices shall be sent to EZ at the address show on the Website. EZ will send required notices to a User at the address at which the User requests such notices be sent in a writing sent to EZ.
